Terms of Service

Please read these terms & conditions carefully before using the website and services offered by Sonniss Limited (“Sonniss”). The Agreement sets out the legally binding terms and conditions for your use of the website and all services provided by Sonniss.

By using Sonniss in any manner, including but not limited to purchasing items from the store, browsing the website or leaving reviews on products, you (the “user” or “you”) agree to be bound by this Agreement.

HOW BROWSING & ACCOUNTS WORK

Browsing: You need to be 13 years or over to use Sonniss. We don’t knowingly collect any information from anyone aged 13 or under. When browsing through the site, you agree to follow our guidelines and keep in mind that these terms apply to all users of Sonniss whether or not you have an account.

ACCOUNT SIGNUP

Age: You need to be 18 years or over to signup for an account on Sonniss. If you’re under 18 you will need to be under the supervision of a parent or legal guardian who is at least 18 years of age, and this adult will be responsible for all your activities. Sonniss is available only to, and may only be used by, individuals who can form legally binding contracts under applicable law. You represent and warrant that you are of legal age and that all registration information you submit is accurate and truthful.

Benefits: Signing up is free. Having an account will allow you to purchase items from our catalog, check past purchases, view invoices and access downloads. Having an account also gives you the opportunity to become a supplier, leave reviews and recommendations on products and get involved in community conversations.

Your responsibility: You promise that all of the information you give us is true, accurate and complete and that you will keep your account information up-to-date (including a working email address). Your account is non-transferable. You are responsible for any use of Sonniss that occurs in conjunction with your username and password. Please keep your password secure and don’t let any other person use your username or password on your behalf. If you realize there is unauthorized use of your password or any breach of security you need to let us know immediately.

It is important that you understand your responsibilities as a member of our community so please take the time to review this section carefully.

Account holdership is not an automatic right, it is a benefit for community members who follow our reasonable rules and treat other users well. We hope that you will be with us for a long time. But we do reserve the right, based on our reasonable discretion, to determine whether or not your use of Sonniss complies with these terms. We can suspend or terminate your Sonniss account at any time for any reason (acting reasonably of course), including if you don’t comply with these terms. If we do decide to permanently terminate your Sonniss account you must not apply for a new account because you will no longer be welcome here.

PLAYING FAIR

Prohibited Conduct: Sonniss is founded on the idea of a family-like community and like any functioning and healthy family or community, some things are not allowed and will not be tolerated. We aim to take a common sense approach to the general code of conduct on Sonniss but you promise that you will not:

  1. use a false email address, impersonate others, or misrepresent your affiliation with others;
  2. attempt to gain unauthorized access to computer systems or content through Sonniss;
  3. enter any arrangements that are not consistent with these terms or the Seller Terms;
  4. use information gathered from or through Sonniss in a way that may confuse or mislead consumers (for example, automatically gathering information to set up a site that looks like Sonniss);
  5. attempt to or actually interrupt, negatively impact or alter Sonniss’ operation in any way;
  6. use Sonniss or any of the content in a way that violates applicable law, that violates the intellectual property or other rights of us or others, or that is fraudulent, obscene, unprofessional, offensive, misleading or defamatory;
  7. reproduce, publish, distribute, transmit, perform, license, transfer, sell or re-sell any of the items you purchase through Sonniss, other than in accordance with these terms or the product licensing terms that can be found on the product pages.

We strongly recommend that you don’t make your personal contact details public on Sonniss. Contact details include your street address, phone number, etc. If you do, it must not be for any reason prohibited and you do so at your risk!

INTELLECTUAL PROPERTY

What we own: We own all the content that we have put on our site (unless otherwise stated and excluding content owned by our suppliers). This includes the design, compilation, and look and feel of Sonniss, and copyright, trademarks, designs and other intellectual property on Sonniss. We own all the logos, service marks and trade names on Sonniss (unless otherwise stated and excluding these things owned by others). You will not copy, distribute, modify or make derivative works of any of our content or use any of our intellectual property in any way not expressly stated in these terms.

What we don’t own: We do not own any of the products for sale in our catalog; the third party suppliers own all of the rights (we just act as a distribution agent). So we cannot take personal responsibility for the quality, safety or legality of the items. We do not warrant that the products for sale or materials available on Sonniss do not infringe the intellectual property rights of a third party. (Our suppliers provide their own warranties directly).

Copyright, trademark and intellectual property claims: We respect the intellectual property rights of others and we require that our sellers do the same. If you believe that a product or piece of content infringes an intellectual property right (including copyright) please see the information on our DMCA page.

USE OF INFORMATION

When you signup for an account you will be asked to provide some information about yourself. This information may be used by us in connection with providing the Sonniss site and services, including marketing activities.

Our Privacy Policy explains how we deal with your information and it forms part of these terms.

Confidential Information: We value your information and take reasonable precautions to protect it. While we take reasonable steps to preserve the security of your information, please be aware that we can’t promise that your use of Sonniss will be confidential, and we can’t promise that any information you provide to us is perfectly secure. While using Sonniss, you may also become aware of confidential information about us or another vendor. You promise to not disclose any confidential information made available to you through Sonniss to any other person.

HOW PURCHASING WORKS

Products displayed and sold through Sonniss are not owned by Sonniss, but remain the property of a third party supplier (on whose behalf Sonniss Limited acts as distribution agent). Your contract for purchase will be with the third party supplier, not Sonniss. Products purchased are sold on an ‘as is’ basis and no warranties or guarantees are offered by Sonniss.

A legally binding contract of sale will be formed between you and the supplier of the product when you have confirmed your order and paid the product price in full, plus VAT (if required).

You may use the following payment methods:

  • Checkout on the site using PayPal’s automated payment system (for PayPal account holders only).

  • Checkout on the site using our fully secured credit card processing system (powered by Stripe).
  • Pay directly into the Sonniss bank account. Please contact sales@sonniss.com for more information.
  • By cheque made out to Sonniss Ltd and send to Sonniss Limited, 111 Piccadilly, Manchester. Greater Manchester, M1 2HY.  

At the point of every sale, Sonniss collects a commission payment (as distribution agent) from the third party supplier. No extra fees are added for our customers. Once your payment has been paid in full the money is then sent directly to the third party supplier.

When you purchase a product from Sonniss you provide us with your permission to supply you with the means to access the digital goods you have purchased immediately. Everything on Sonniss is a downloadable product. Once payment has been made you will be sent an email with the details of your purchase and taken directly to the download page for you to download your files. 

When purchasing a product you are buying a non-exclusive licence to use the product, upon terms specified by the seller. Unless described otherwise by the seller you must not copy, modify or re-produce a non-original version of the product you purchase, or loan, lease, sell or distribute the product. You download and use suppliers’ products at your sole risk. Sonniss does not guarantee any specific outcomes as a result of you purchasing a product from the website.

OUR INDEMNITY TO YOU

We provide the Sonniss website, not the products for sale on Sonniss. We are liable and responsible for:

  1. our use of Sonniss;
  2. the services, message, and quality assurance of all content that belongs to us (Sonniss).
  3. Sonniss content breaching of any intellectual property rights belonging to others;
  4. our breach of these terms;
  5. our breach of any industry code, regulation or law that applies.

You have no responsibility to us for, and we agree to indemnify you from, all liabilities, costs, expenses (including legal fees) and loss arising from third party claims due to any of the matters set out in the previous section.

YOUR INDEMNITY TO US

You are liable and responsible for:

  1. your use of Sonniss
  2. breaching any intellectual property rights belonging to others;
  3. your breach of these Terms;
  4. your breach of any industry code, regulation or law that applies.

We have no responsibility to you or to any other person for all liabilities, costs, expenses (including legal fees) and loss arising from third party claims due to any of the matters set out in the previous section and you agree to indemnify us, our directors, officers, employees and agents from all losses.

This means that you protect us from all costs and claims that happen because of your actions on Sonniss.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

GENERAL INFORMATION

Availability: We strive to have Sonniss available to you 24 hours a day, seven days a week but occasionally you might not be able to access Sonniss, and this might happen for any reason, at any time, with or without notice. We might also change aspects of how Sonniss works. We will not be liable to you for any loss you suffer as a result of these things.

Third party: If you’re agreeing to these terms on behalf of someone else (like your agent), then you’re promising to us that you have full legal authority to bind that third party.

Relationship between the parties: Nothing in these terms is to be construed as constituting a partnership, joint venture, employment or agency relationship between you and us, or between you and any other user on Sonniss. Neither you nor us can bind each other in any way. We are, however, an agent of the sellers for the specific purpose of product distribution.

Notices: Any notice you send us must be submitted via a email.

Changes to Sonniss: Although we can change any of our terms at any time (without any given notice) we will take reasonable steps to let you know when we do so.

Disclaimer: In some places there may be consumer or fair trading laws that apply and that may give you rights that we cannot exclude, restrict or modify (‘non-excludable law’). We do not exclude or modify any non-excludable law. Except as provided in a non-excludable law, we are bound only by the express promises made in these terms and we are not bound by implied terms.

These terms and conditions are governed by and are to be interpreted in accordance with British Law. In the event of any dispute arising in relation to these terms or in relation to the provision of any services by Sonniss, the English courts will have exclusive jurisdiction over such dispute.

Accepted payment methods
